Head of Legal / Senior Legal Counsel – Renewable Energy

My client is a leading international renewable energy company specialising in the development, production, and storage of photovoltaic energy. Operating across multiple international markets, the organisation is experiencing significant growth as it expands its global renewable energy portfolio.

We are seeking an experienced Head of Legal / Senior Legal Counsel to lead legal activities for the German business and support a broad range of renewable energy transactions and operational matters.

This position will play a critical role in supporting project development, M&A activity, project financing, contract negotiations, and corporate governance across the German market, while acting as the key legal interface with international headquarters.

The successful candidate will combine strong corporate and commercial legal expertise with direct experience within the renewable energy sector.

Corporate & Transactional Legal Support

• Manage and oversee the portfolio of domestic entities, including:
  • Corporate governance
  • Manager renewals
  • Intra-group agreements
  • Corporate legal formalities
  • Powers of attorney (POA)
• Support capital transactions and internal restructurings
• Provide legal support for:
  • M&A transactions
  • Renewable energy acquisitions
  • Project financing transactions

Contract Negotiation & Drafting

• Draft, review, and negotiate contracts in German and English, including:
  • Land lease agreements
  • EPC contracts
  • O&M agreements
  • Development partnerships
  • Grid connection agreements
  • Power Purchase Agreements (PPAs)
  • Service agreements
• Prepare legal documentation for tenders, bids, and project submissions
• Maintain and improve standard contract templates and legal documentation systems

Legal Advisory & Risk Management

• Provide strategic legal advice to management and business stakeholders
• Manage litigation matters and coordinate with external counsel where required
• Develop and implement compliance, regulatory, and governance guidelines
• Support insurance and risk management matters across the German business

Legal Department Leadership

• Organise and manage legal operations within Germany
• Coordinate legal documentation and reporting activities
• Support legal process improvement initiatives
• Act as the primary legal contact for international headquarters
• Support the development and scaling of the legal function as the business grows

• Master’s degree in: German Corporate Law, Renewable Energy Law, Commercial Law, or related legal discipline.
• Minimum 5+ years of legal experience within: Renewable energy, Infrastructure, Energy projects
• Strong experience with: Corporate transactions, M&A, Project finance, EPC, and commercial contract negotiation
• Prior in-house legal counsel experience preferred
• Initial team leadership or legal management experience advantageous
• Fluent German and English required
